These Terms of Use (“Terms”) govern your access to and use of our website (“Site”) and any products purchased through it. By using this Site or purchasing any products, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site or any associated services.

Research Use Only – Regulatory Emphasis

All products sold by DNAxis are intended exclusively for qualified institutional research. These products are not approved by the U.S. Food and Drug Administration (FDA) for any therapeutic or diagnostic use. Our products are sold strictly for research purposes or in furtherance of other lawful controlled investigational settings.

Under no circumstances shall DNAxis products be used for human or veterinary consumption, administration, or application. This includes, but is not limited to, ingestion, injection, inhalation, topical application, or incorporation into food, cosmetics, supplements, or drugs. Any representation by a customer or third party that implies a product is suitable for human use constitutes a direct violation of these Terms.

DNAxis reserves the right to refuse or cancel any order and block further purchases if we have reason to believe that a customer is misrepresenting their intended use, attempting to procure products for human application outside of a lawful pathway, and is not a qualified research institution. We may, and reserve the right to, conduct internal reviews, including assessment of order patterns, shipping details, and public information about the purchaser’s entity, to determine whether misuse or regulatory violations may occur. DNAxis may also report such activity to relevant authorities.

Eligibility and Restrictions

DNAxis provides products exclusively to clinician-led research platforms, laboratories, or registered businesses engaged in lawful scientific research. Clinician-led research platforms refer exclusively to institutions, clinical practices, or organizations operated by licensed healthcare professionals or qualified scientific researchers engaged in lawful, controlled, investigational, non-therapeutic research. By ordering through our website, you confirm your affiliation with a qualified research organization and agree to use these products solely for lawful research purposes.

By placing an order, you affirm that you are legally eligible and authorized to receive, possess, and handle restricted research materials in accordance with all applicable federal, state, and local laws. You further represent that you are purchasing on behalf of a licensed institution, laboratory, university, or registered business engaged in lawful scientific research.

Purchasers must be familiar with appropriate handling procedures and possess the necessary certifications or institutional oversight to safely store, study, and dispose of DNAxis products. You agree that any unauthorized use or deviation from approved research applications will be considered a breach of these Terms.

Consideration and Your Compliance with this Agreement

You acknowledge that this Agreement is supported by reasonable and valuable consideration, the receipt and adequacy of which are hereby conclusively acknowledged. Such consideration includes your ability to purchase from our website and access or use our Services. You represent that you have the capacity to be bound by this Agreement, or if you are acting on behalf of a company or other person or entity, that you have the authority to bind such company or person or entity.

Domestic U.S. Sales Only

DNAxis only ships to addresses within the United States. International orders are not accepted. You confirm by placing an order that the shipping address is a valid U.S. location associated with a qualified research organization. Any attempt to circumvent these restrictions may result in order cancellation.

Customers acknowledge and agree that they shall comply fully with all applicable U.S. export control laws, rules, and regulations, and will not export or re-export products provided by DNAxis without necessary licenses or approvals from the appropriate regulatory authorities.

Payment and Verification

Payments made to DNAxis may be processed by a third-party management or payment processing company. By using this platform, you authorize us to share your payment information with our designated third-party payment processor(s) to facilitate the transaction. You acknowledge that the third-party processor may have its own terms and privacy policies, and you agree to review and comply with such terms. We accept major credit and debit cards and ACH transfers. Orders are not finalized until payment has been successfully processed and verified. All transactions must be made in U.S. dollars.

We reserve the right to verify your identity, payment credentials, institutional affiliation, and intended use before accepting or fulfilling an order. If there is any reason to suspect fraud, noncompliance, or misuse, we may delay until confirmed or cancel the transaction.

Shipping and Risk of Loss

Orders are generally shipped within two business days after verification and full payment. Products will ship only to verified institutional addresses. DNAxis does not ship to residential addresses. Once the package is accepted by the carrier, risk of loss transfers to the purchaser. Delivery delays or damage caused by the carrier are not the responsibility of DNAxis, but we will assist in resolving such issues where possible.

Customers are responsible for ensuring all shipping information is complete and accurate. DNAxis is not liable for packages lost or misdelivered due to incorrect information provided at checkout.

Returns and Refunds

Returns are accepted only if the product is unopened, unused, and in its original packaging. You must request return authorization within 14 days of delivery. Products returned without authorization, or in non-original condition, may be refused or disposed of without refund.

Refunds will be issued to the original payment method following inspection. Shipping fees are non-refundable unless the return results from our error. In cases involving defective or incorrect shipments, contact us within five business days of receipt to request a resolution.

No Warranties and Limited Liability

All products are sold “as is” and “as available,” without warranties of any kind, express or implied. DNAxis makes no guarantees regarding the accuracy, stability, efficacy, or suitability of any product for a specific research goal.

DNAxis shall not be held liable for any indirect, incidental, punitive, or consequential damages arising from the use or misuse of our products or Site. Our total liability will not exceed the purchase price of the item giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless DNAxis, including its officers, directors, affiliates, employees, contractors, and successors, from any and all claims, demands, investigations, penalties, lawsuits, enforcement actions, damages, or losses arising from misuse, improper handling, or unauthorized application of products purchased through our Site.

Intellectual Property

All content on the Site, including text, images, logos, product data, and software, is the intellectual property of DNAxis and may not be used or reproduced without our prior written permission.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida. Any disputes arising from the Site or these Terms must be resolved in the state or federal courts located in Palm Beach County, Florida. You agree to submit to the jurisdiction of those courts.

Amendments and Enforcement

DNAxis reserves the right to update or revise these Terms at any time. The most current version will always be posted on our website. Continued use of the Site after changes are published constitutes your acceptance of the revised Terms.

If any part of these Terms is deemed invalid by a court, the remaining provisions will remain in full force and effect.
